1. Program scope and relationship to the Seller Agreement
These T546™ Sponsored Promotion Program Terms ("Program Terms") govern voluntary participation in the RacerServices.com Sponsored Promotion Program. They supplement, and do not replace, the Seller Agreement, the general Terms of Use, applicable customer policies, and any other written terms that apply to the seller, product, payment, payout, or transaction.
If these Program Terms specifically address a Sponsored Promotion matter, these Program Terms control that matter for the applicable accepted campaign. The Seller Agreement continues to govern the seller's general marketplace participation, product obligations, payouts, reserves, refunds, disputes, fraud, negative balances, suspension, termination, and other matters not specifically changed by these Program Terms.
Publication of these Program Terms does not by itself represent that campaign scheduling, automated placement, attribution, fee collection, qualification review, or every other Program feature is currently operational.
2. Voluntary participation and active acceptance
Sponsored Promotion is optional. A seller does not join the Program merely by becoming an approved seller, publishing a product, viewing campaign availability, or selecting tentative campaign dates.
When campaign scheduling is available, the seller must actively accept the then-current Program Terms through an unchecked acceptance control before a campaign may be scheduled. The acceptance system may record the Program Terms version, acceptance date and time, seller account and application identifiers, the selected campaign, product and price identifiers, and available technical evidence used to preserve an auditable acceptance record.
3. Eligible sellers, products, and prices
Sponsored Promotion is available only for eligible approved sellers and specifically eligible marketplace products. A campaign applies only to the exact product and price or commercial variant identified in the campaign confirmation.
Product approval, publication, seller approval, payout readiness, legal eligibility, risk status, and other marketplace requirements may be revalidated when a campaign is scheduled and while it is active. Approval of a seller or product does not guarantee Sponsored Promotion eligibility.
4. Sponsored on T546™
An eligible seller may choose the general Sponsored on T546™ placement lane when capacity is available. A qualifying sale attributed to a confirmed general Sponsored campaign is subject to a Sponsored Promotion Fee equal to 30% of the qualifying Sponsored sale amount.
The Sponsored Promotion Fee is separate from the ordinary RacerServices marketplace service fee and from third-party payment-processing, payout, network, tax, dispute, currency-conversion, or similar provider costs.
5. T546™ Business & Enterprise Spotlight
T546™ Business & Enterprise Spotlight is a separate Sponsored placement lane for eligible Business & Enterprise Solutions that first satisfy the applicable qualification requirements.
A qualifying sale attributed to a confirmed Business & Enterprise Spotlight campaign is subject to a Sponsored Promotion Fee equal to 35% of the qualifying Sponsored sale amount.
A seller cannot qualify a product for Business & Enterprise Spotlight merely by agreeing to the 35% fee. RacerServices may evaluate product capabilities, business use, licensing, administrative controls, integrations, scalability, support, security, data handling, and other published qualification criteria before making that placement lane available.
6. No Sponsored fee stacking
The general Sponsored Promotion Fee and the Business & Enterprise Spotlight Sponsored Promotion Fee do not stack on the same qualifying sale. A qualifying Spotlight sale uses the applicable 35% Spotlight rate rather than 30% plus 35%.
Ordinary marketplace service fees and applicable third-party provider costs remain separate unless the applicable written terms expressly state otherwise.
7. Sponsored Promotion Fee base
Unless a campaign confirmation expressly states otherwise, the qualifying Sponsored sale amount is the customer-paid product subtotal attributable to the exact enrolled product and price, excluding sales tax, VAT, GST, or similar transaction taxes collected for remittance and excluding separately stated third-party charges.
The applicable campaign confirmation and transaction records may preserve the fee rate, fee base, currency, product, price, campaign, and other calculation evidence used for a qualifying sale.
8. No upfront Sponsored placement charge
RacerServices does not charge an upfront advertising purchase price merely to schedule a campaign under this Program. The Sponsored Promotion Fee is performance-based and applies only when a sale qualifies under the accepted campaign's attribution rules.
This does not eliminate ordinary marketplace fees or applicable third-party costs associated with an actual transaction.
9. Campaign calendar and availability
Campaign calendars and availability indicators are planning tools. Viewing an available date, selecting dates, reviewing a campaign summary, or opening the Program Terms does not reserve placement capacity.
When available, the general Sponsored lane may support up to 20 simultaneous campaign positions and the Business & Enterprise Spotlight lane may support up to 10 simultaneous campaign positions. RacerServices may temporarily make fewer positions available because of maintenance, risk controls, product eligibility, operational needs, legal requirements, or marketplace configuration.
10. No temporary campaign hold
Tentative date selection does not place a temporary hold on Sponsored inventory. Availability can change while a seller reviews the campaign summary or these Program Terms.
RacerServices does not promise that availability displayed before final acceptance will remain available until the seller confirms the campaign.
11. Final scheduling and capacity validation
When the scheduling workflow is available, the seller's final "Accept Terms & Schedule Campaign" action, or an equivalent clearly labeled control, is the action that requests a confirmed campaign.
RacerServices may atomically revalidate seller eligibility, product status, exact product and price scope, Business & Enterprise qualification where applicable, selected dates, Program Terms version, campaign configuration, and remaining placement capacity before scheduling succeeds.
If required capacity becomes unavailable before that transaction completes, the campaign is not scheduled. RacerServices may show the seller other available dates, but no unavailable date is promised or silently substituted.
12. Campaign period, placement, and scheduling records
A confirmed campaign applies only during its recorded campaign period and only to the product, price, placement lane, and other scope shown in the campaign confirmation.
RacerServices may preserve an immutable or otherwise protected campaign snapshot containing the seller, product, price, placement lane, campaign start and end dates, applicable Sponsored Promotion Fee rate, Program Terms version, attribution rules, confirmation time, and other evidence reasonably necessary to administer and audit the Program.
13. Attribution and other marketing channels
A sale may qualify under an accepted T546™ Sponsored campaign even when the buyer also encountered the seller's own advertising, organic marketing, search result, direct link, email, social-media promotion, affiliate promotion, referral, or another marketing source.
Sponsored attribution under this Program is a contractual marketplace fee rule and does not represent a claim that T546™ was the sole factual cause of the customer's purchase.
The seller may not defeat an otherwise valid campaign attribution merely by showing that another marketing channel also influenced or contacted the buyer.
14. Seller-controlled external advertising
Sellers remain responsible for their own advertising and marketing campaigns outside RacerServices.com, including any Google, Meta, TikTok, email, affiliate, social-media, search, direct-response, agency, or other external campaign costs.
RacerServices does not reimburse or assume those external advertising costs merely because a transaction also qualifies for a Sponsored Promotion Fee under an accepted T546™ campaign.
15. Subscription free trials and first paid invoice
When an enrolled subscription begins with an eligible free trial during an attributable Sponsored campaign, the campaign attribution may remain attached through the trial to the first paid subscription invoice for that exact enrolled product and price.
If that first paid invoice qualifies, the applicable Sponsored Promotion Fee applies once to that first paid invoice. Later ordinary subscription renewals are not charged another Sponsored Promotion Fee from the same trial attribution and instead use the otherwise applicable marketplace fee rules unless a separate later campaign independently qualifies.
16. Refunds and Sponsored Promotion Fee reversals
When a completed qualifying Sponsored sale receives a full approved customer refund, RacerServices will reverse the Sponsored Promotion Fee attributable to the fully refunded qualifying sale.
When a completed qualifying Sponsored sale receives a partial approved refund, RacerServices will proportionally reverse the Sponsored Promotion Fee attributable to the refunded portion of the qualifying Sponsored sale amount.
This Sponsored Promotion Fee reversal rule is separate from the Seller Agreement's treatment of the ordinary marketplace service fee. Third-party payment-processing, payout, network, currency-conversion, tax, dispute, and other provider costs may remain non-refundable as described in the Seller Agreement or applicable provider terms.
17. Chargebacks, disputes, fraud, and negative balances
Chargebacks, payment disputes, fraud reviews, reserves, seller liabilities, negative balances, deductions, recovery methods, and related provider costs continue to be governed by the Seller Agreement, applicable provider terms, and applicable law.
RacerServices may suspend or restrict Sponsored placement while investigating legitimate fraud, security, legal, payment, product, or seller-account concerns.
18. No performance guarantee
Sponsored placement is advertising, not an editorial recommendation, endorsement, certification, or guarantee of product quality.
RacerServices does not guarantee any minimum number of impressions, views, clicks, visitors, leads, conversions, purchases, revenue, ranking position, audience characteristics, attribution result, or other campaign outcome.
Marketplace traffic, customer behavior, placement rotation, technical availability, competing inventory, product eligibility, and other conditions may affect campaign performance.
19. Campaign cancellation, rescheduling, and suspension
Available cancellation or rescheduling controls, notice requirements, and timing rules may be stated in the campaign workflow or campaign confirmation. A seller may not assume that a confirmed campaign can be moved to another date when the replacement date lacks capacity.
Cancellation or suspension does not retroactively erase a Sponsored Promotion Fee already earned on a qualifying completed sale or an attribution snapshot already attached to an eligible subscription trial, unless the applicable campaign confirmation, refund rule, law, or written RacerServices adjustment requires otherwise.
RacerServices may suspend or end placement when the seller, product, price, listing, storefront, or campaign becomes ineligible because of fraud, security concerns, product suspension, policy violations, legal requirements, sanctions, provider restrictions, or other marketplace risk.
20. Program versions and prospective changes
Each confirmed campaign should preserve the Program Terms version and Sponsored Promotion Fee rate accepted for that campaign. A later change to the Program's fee rate or material commercial terms does not retroactively rewrite an already confirmed campaign's recorded economics unless required by applicable law or expressly agreed by the seller.
New campaigns may require acceptance of the then-current Program Terms. RacerServices may update future Program terms, qualification criteria, availability rules, or operational details with notice where required. Changes required by law, tax rules, payment providers, card networks, fraud risk, security needs, or other mandatory requirements may take effect sooner where reasonably necessary.
21. Records and evidence
RacerServices may retain campaign, acceptance, attribution, transaction, refund, dispute, fraud, qualification, and fee-calculation records as reasonably necessary for marketplace administration, accounting, compliance, security, legal obligations, dispute resolution, and audit.
Program records may include the seller application and storefront, accepting user, exact product and price, campaign identifier, placement lane, campaign period, applicable fee basis points, Program Terms version, acceptance time, attribution evidence, and related transaction identifiers.
22. Governing law and disputes
These Program Terms follow the governing-law and dispute framework in the Seller Agreement. Indiana law governs where legally permitted. The parties should first attempt informal resolution through support@racerservices.com. Unresolved disputes may proceed in an appropriate Indiana state or federal court or eligible small-claims court. Non-waivable rights and jurisdictional protections remain available.
