Seller Agreement

Last updated: July 18, 2026

Version: 2026-07-18-v1

This Seller Agreement governs individuals and businesses that apply to list or sell products through RacerServices.com. Seller approval is not automatic. This Agreement supplements the general Terms of Use and any applicable product-specific, payment-provider, payout-provider, proposal, or written terms.

1. Seller acceptance

Sellers must actively accept the current Seller Agreement during enrollment, and the acceptance control must not be pre-checked. The acceptance system, when implemented, may record the agreement version, acceptance date and time, seller account ID, and available technical evidence such as an IP address. This language does not represent that such an acceptance system is currently implemented.

Material changes to fees, reserves, payouts, ownership rights, or dispute provisions may require renewed acceptance. Continued use after notice may constitute acceptance only where legally permitted.

2. Seller eligibility and approval

Individual creators and registered businesses may apply. Enrollment may be available worldwide where legally permitted and where the selected payment and payout providers support verification, onboarding, tax handling, and payouts. Applicants must have legal capacity to enter this Agreement and provide truthful, complete, and current information.

Approval may depend on identity, tax, payout, product, security, risk, and legal review. RacerServices may reject an application when required information is unavailable, unsupported, inaccurate, or presents unacceptable risk.

3. Public and private seller identity

Sellers may display a creator name, studio name, or business brand publicly. RacerServices and its providers may privately require a legal name, address, tax information, identity documents, and payout information. Public profiles may identify whether a seller is an individual creator or registered business where legally required.

Sellers may not impersonate others, use deceptive names, or conceal legally required trader information. Private verification information is not displayed publicly unless authorized or legally required. Verified information may be disclosed as required by law, court order, tax rules, payment-provider rules, or consumer-protection obligations.

4. No enrollment or listing fees

RacerServices currently charges no seller signup fee and currently charges no product-listing fee. RacerServices earns its marketplace service fee from completed sales. Payment-processing, payout, currency-conversion, tax, dispute, network, and related provider costs may still apply separately. These terms may change with notice as described in this Agreement.

5. Product review and approval

Every third-party seller product must be reviewed before publication. Approval is not automatic and does not guarantee continued listing. RacerServices may reject, request changes to, suspend, restrict, or unlist products that are illegal, deceptive, unsafe, infringing, malicious, misleading, technically broken, materially low quality, unsupported, or inconsistent with marketplace standards.

Sellers remain responsible for legality, ownership, licenses, claims, product operation, documentation, updates, support, and listing accuracy. Marketplace approval does not mean RacerServices guarantees a product or assumes the seller's legal obligations.

6. Prohibited products and conduct

Sellers may not offer products or services involving:

  • Malware, spyware, credential theft, phishing, or hidden data collection
  • Unauthorized surveillance, access, hacking, or security-control evasion
  • Stolen, counterfeit, pirated, or infringing content
  • Fraud, deceptive claims, impersonation, or fake reviews
  • Unauthorized sale or transmission of customer information
  • Illegal or unlawfully regulated goods or services or unlawful gambling
  • Sexual exploitation, child sexual abuse material, or non-consensual intimate content
  • Hate, violent-extremist, or terrorism support
  • Instructions intended to facilitate serious harm
  • Unauthorized professional, financial, medical, legal, tax, compliance, or guaranteed-outcome claims
  • Violations of app-store, payment-provider, export-control, sanctions, privacy, consumer-protection, or other applicable rules

RacerServices may reject or remove products that reasonably create unacceptable legal, security, safety, reputational, financial, or marketplace risk.

7. Seller representations

Each seller represents that:

  • The seller owns or has adequate rights to all submitted products and materials.
  • Product claims and listing information are accurate.
  • The product does not knowingly contain malware, undisclosed tracking, stolen code, or unauthorized data collection.
  • The seller has the rights needed to license and deliver the product.
  • The seller will comply with applicable laws and provider rules.
  • The seller will not manipulate sales, reviews, discounts, referrals, disputes, or account metrics.

8. Support and maintenance

Sellers must provide the support, documentation, updates, compatibility information, and response methods promised in each listing; investigate verified defects; correct material existing product problems within a reasonable period when reasonably possible; keep listings accurate when pricing, dependencies, compatibility, support, availability, or functionality changes; and notify RacerServices of serious security or product failures.

Sellers are not required to provide free customization, new features, migrations, integrations, training, expanded support, or customer-specific modifications unless included in the listing or a written agreement. RacerServices may suspend products, sales, or payouts for repeated support failures or materially defective unresolved products.

9. Seller ownership

Subject to third-party ownership rights, sellers retain ownership of their products, source code, content, documentation, seller branding, product names, screenshots, designs, and other submitted materials.

10. Marketplace license

By listing a product, the seller grants RacerServices a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, demonstrate, distribute, deliver, market, advertise, and promote the seller's listing and product materials only as reasonably needed to operate the marketplace, fulfill orders, provide support, and promote the marketplace or product.

This includes reasonable use of product names, seller names and branding, logos, screenshots, descriptions, previews, and demonstrations in marketplace search, email, advertising, social media, and promotional materials. Sellers confirm they possess the rights necessary to grant this license.

After removal, future promotional use should normally end. RacerServices may retain transaction records, backups, evidence, and materials reasonably needed for existing customer access, support, legal obligations, disputes, refunds, fraud prevention, and tax and accounting records.

11. T546™ Product Protection

Sellers may not copy, clone, reproduce, adapt, repackage, rebrand, redistribute, or create or list a replica of a T546™ product using protected T546™ source code, content, documentation, designs, user-interface assets, branding, confidential information, trade secrets, or other proprietary materials.

Sellers may not use confusingly similar product names, marks, presentation, or claims that falsely suggest sponsorship, approval, affiliation, or origin from T546™ or Racer Services LLC. Reverse engineering is prohibited except where applicable law expressly permits otherwise.

This provision does not prevent lawful independent development based only on unprotected ideas, concepts, methods, systems, or functionality, provided the seller does not copy protected or confidential T546™ materials or create customer confusion.

12. RacerServices ownership

Sellers receive no ownership of RacerServices.com, T546™, the RacerServices marketplace software, platform designs and content, RacerServices customer lists, RacerServices branding, internal systems, or confidential information.

13. Customer licenses

Sellers must define accurate license and access terms for each product. Customer rights are governed by the listing, license, subscription terms, and any applicable written agreement. Sellers must honor access and license rights already granted and may not retroactively remove purchased rights unless legally required, necessary for security, or permitted by the original agreement.

14. Non-exclusivity and off-platform transactions

Seller listings are non-exclusive, and sellers may sell through other lawful channels. Sellers may not use RacerServices customer information or marketplace communications to redirect marketplace-generated buyers to off-platform payment.

15. Pricing, trials, and promotions

Sellers control their product prices, subscription terms, license options, trials, supported currencies, and seller-funded discounts, subject to marketplace standards and technical capabilities. Fake discounts, misleading reference prices, hidden mandatory fees, inaccurate "free" claims, misleading trials, and deceptive renewal terms are prohibited.

RacerServices may recommend pricing but may not change a seller-funded price or discount without authorization. RacerServices may fund its own marketplace promotion without reducing the seller's agreed net proceeds.

16. Marketplace service fees

The standard tier is 2.5% plus $0.30 USD per successful transaction. The high-volume tier is 1.5% plus $0.25 USD per successful transaction.

A seller qualifies for the high-volume tier after exceeding $20,000 in qualifying net completed sales over a rolling 30-day period. Refunds and chargebacks are deducted when calculating qualifying net sales. Taxes do not count toward qualifying net sales. Third-party payment-processing fees do not reduce qualifying net sales for this threshold calculation. The reduced fee begins the day after the seller exceeds the threshold.

If the rolling 30-day amount later falls to $20,000 or below, the seller retains the reduced tier for a 30-day grace period. If the seller regains qualification during that period, the reduced tier continues; otherwise, the standard tier resumes after the grace period. Fees are calculated per successful transaction, and rounding may occur according to platform and payment-provider systems.

17. Payment-processing and provider costs

Sellers separately bear applicable third-party payment-processing, payout, currency-conversion, network, cross-border, tax-related, dispute, and other provider charges. These costs are separate from the RacerServices marketplace service fee and may vary by country, currency, payment method, account type, payout method, and provider configuration.

18. Taxes and seller records

Sellers must provide accurate legal name, address, tax status, taxpayer information, payout information, and verification documents. RacerServices or its providers may require identity or tax documents before activation or payout. Sellers remain responsible for their own income, business, payroll, and similar taxes.

RacerServices may calculate, collect, report, withhold, or remit sales tax, VAT, GST, or similar taxes when legally required or supported by the implemented checkout system. This does not represent that automated tax calculation is currently implemented. Payouts may be withheld when information is missing, inaccurate, expired, unsupported, or legally insufficient. Required transaction, tax, payout, fraud, and compliance records may remain after account closure.

19. Payout schedule

Default seller payouts are scheduled every other Wednesday. The minimum payout threshold is $20 USD, and amounts below the threshold carry forward. Payouts remain subject to available balances, reserves, refunds, chargebacks, negative balances, identity verification, tax information, fraud review, legal restrictions, provider capability, banking schedules, and provider processing delays. A scheduled payout date does not guarantee that the seller's bank will make funds available that same day.

20. Weekly payout eligibility

A seller may become eligible for weekly payouts after at least 60 active days in good standing, a fraud and chargeback rate below 0.1%, completion of required verification, and satisfaction of reserve and risk requirements.

Eligibility remains subject to marketplace risk review, payment-provider capability, account standing, negative balances, product-support history, and legal and compliance restrictions. The applicable calculation method and risk period should be disclosed through the seller dashboard or payout documentation before weekly payout automation is implemented. Weekly payout automation is not currently represented as implemented.

21. Rolling reserve

A temporary 5% rolling reserve applies to qualifying seller funds during the seller's first 90 days. Each reserved amount is normally held for 30 days before release. Reserved funds may be used or held against refunds, chargebacks, disputes, fraud losses, negative balances, taxes, legal obligations, or provider requirements. Release remains subject to unresolved risks and available balances and is not guaranteed while related liabilities remain unresolved.

RacerServices may adjust, extend, reduce, or impose a reserve where reasonably required by fraud risk, dispute history, law, provider rules, or account circumstances, subject to this Agreement's notice rules where applicable. A reserve is not an insured escrow account.

22. Refunds

Approved customer refunds are returned to the buyer according to the applicable customer policy and law. Refund amounts are deducted from the seller's pending balance first and then future earnings where necessary. RacerServices intends to return its own marketplace service fee to the seller as a goodwill policy when an approved refund is completed.

Payment-processing, payout, currency-conversion, network, tax, or other third-party costs may remain non-refundable and may still be charged to the seller. RacerServices may withhold the marketplace-fee return when a refund results from seller fraud, abuse, material misrepresentation, repeated defects, policy violations, or manipulation.

23. Chargebacks and fraud

Sellers are responsible for the disputed transaction amount when liability is allocated to the seller under this Agreement and the implemented payment structure. Sellers are also responsible for actual dispute, chargeback, network, provider, and reasonable administrative costs charged or incurred. Current provider fees may be disclosed separately and may change.

Sellers must cooperate and promptly provide requested dispute evidence. RacerServices may suspend delivery, listings, sales, or payouts during a legitimate fraud or security review. Confirmed fraud may lead to termination and legal reporting.

24. Negative balances and rolling deductions

Amounts owed are applied in this order:

  1. Current pending seller balance
  2. Reserve balance where applicable
  3. Future seller earnings
  4. Invoice or another lawful repayment method if earnings remain insufficient

Closing an account does not erase a negative balance. Payment-provider recovery tools may be used only where authorized by this Agreement, provider rules, and applicable law. RacerServices should not automatically debit a seller's bank account without clear authorization. Unpaid balances may result in payout holds, suspension, collection activity, or legal recovery.

25. Customer information

Sellers receive only customer information reasonably necessary to fulfill orders, provide licensed access, provide technical support, complete approved custom services, send necessary security notices, or comply with applicable law.

Sellers may not sell, rent, or scrape customer information; combine it for unrelated profiling; use it for unrelated purposes; add customers to marketing lists without separate valid consent; send unauthorized promotional messages; or use it to bypass RacerServices or move transactions off-platform.

Sellers must protect customer information, restrict access, use reasonable safeguards, delete information when no longer reasonably needed subject to lawful retention, and promptly report suspected breaches or unauthorized access.

26. Intellectual-property complaints and takedowns

Complaints should identify the protected work or right, the disputed listing, the complainant's contact information, the basis for the complaint, a good-faith statement, and a statement that the information is accurate and authorized. Formal copyright notices and counter-notifications should be submitted under the Copyright Infringement and Repeat-Infringer Policy or sent to admin@racerservices.com.

RacerServices may temporarily restrict or remove content during review. Sellers must respond promptly and provide ownership, license, or authorization evidence. Repeated or serious infringement may result in termination where legally permitted. Content may be restored when a complaint is withdrawn, resolved, or unsupported. False or abusive complaints are prohibited.

The formal notice-and-counter-notice process, designated-agent details, and repeat-infringer policy are available on the copyright policy page. General seller support remains available at support@racerservices.com.

27. Suspension and termination

RacerServices may suspend listings, product delivery, sales, payouts, seller dashboard access, or seller account access for fraud, excessive disputes, prohibited products, inaccurate verification, security risk, support failure, infringement, negative balances, legal requirements, material Agreement violations, or unacceptable marketplace risk. Serious or repeated violations may result in permanent termination.

28. Seller account closure and final payout hold

Sellers may request closure after satisfying outstanding customer obligations, support duties, refunds, chargebacks, tax duties, payout issues, and contractual obligations. Closure does not erase refund liabilities, chargebacks, reserves, negative balances, taxes, legal claims, or existing customer obligations.

Pending seller funds may be held for up to 180 days after account closure or termination. Funds may be held longer where reasonably required for unresolved refunds, chargebacks, disputes, fraud investigations, negative balances, tax or compliance issues, legal obligations, or payment-provider requirements.

29. Existing customer access

Customers may retain access to prior purchases under the original license and subject to technical availability. RacerServices may preserve product files or access arrangements only as reasonably needed for existing purchases, support, legal obligations, disputes, or fraud prevention.

30. Seller responsibility and indemnity

Subject to applicable law, sellers are responsible for claims, losses, penalties, refunds, disputes, and reasonable legal costs arising from their products, listings, customer promises, intellectual-property violations, privacy or security failures, tax obligations, unlawful conduct, or Agreement breaches. Sellers must cooperate with investigations, disputes, takedown requests, and legal claims. Covered amounts may be deducted from pending balances, reserves, or future earnings.

RacerServices should notify the seller of a covered claim when reasonably possible and may control or participate in a defense or settlement where its platform, brand, customers, or legal interests are affected. RacerServices should not agree to a settlement admitting seller wrongdoing or imposing non-monetary seller duties without consent unless legally required. Sellers are not responsible under this section for losses caused solely by RacerServices' own misconduct.

31. Disclaimers and limitation of liability

RacerServices does not guarantee continuous marketplace availability, seller revenue, product approval, search ranking, sales volume, payment-provider availability, payout timing, protection from fraud, freedom from disputes, or error-free systems.

To the extent permitted by applicable law, RacerServices is not liable for indirect, incidental, special, consequential, or punitive damages. Any disclaimer or limitation remains subject to non-waivable rights and liabilities that cannot legally be excluded or limited. Nothing in this Agreement is an unlimited waiver of all liability.

32. Changes to seller terms

RacerServices will normally provide at least 30 days' advance notice before changing marketplace service fees, payout thresholds, reserve percentages, or regular payout schedules. Changes required by law, tax rules, card networks, providers, fraud risk, or security needs may take effect sooner, with notice as promptly as reasonably possible.

Transactions completed before the effective date generally use the prior terms, and later transactions use the new terms. Sellers who disagree may stop new sales and close their account, subject to existing customer, refund, chargeback, tax, reserve, negative-balance, and payout obligations.

33. Governing law and disputes

Indiana law governs where legally permitted. The parties should first attempt informal resolution through support@racerservices.com. Unresolved disputes may proceed in an appropriate Indiana state or federal court or eligible small-claims court. Non-waivable rights and jurisdictional protections remain available.
