Custom Services and Proposal Terms

Last updated: July 19, 2026

These terms govern proposals and custom services provided directly by Racer Services LLC. They establish general expectations for project formation, scope, payment, delivery, ownership, and support while allowing an accepted project-specific written agreement to define the details of an individual engagement.

1. Scope

These terms apply to custom services provided directly by Racer Services LLC, including commissioned digital solutions, development, customization, integrations, setup, migration, consulting, training, and other project-based work described in an accepted written document.

These terms do not automatically govern services independently provided by third-party marketplace sellers. Third-party seller services remain subject to the applicable seller listing, written agreement, marketplace policies, and the Seller Agreement.

2. Relationship to other policies

The Terms of Use continue to apply to use of RacerServices.com and related services. The Refund, Cancellation & Delivery Policy continues to apply to refunds, cancellation, and delivery. The Privacy Policy governs personal-information handling. These Custom Services and Proposal Terms supplement those policies and any accepted project-specific written terms.

3. Preliminary communications are non-binding

Proposals, estimates, preliminary discussions, demonstrations, drafts, and similar communications are non-binding unless Racer Services LLC expressly states otherwise in writing. Submitting an inquiry, discussing a project, or receiving a preliminary proposal does not by itself create an engagement or confidentiality obligation, reserve development capacity, guarantee acceptance, or require Racer Services LLC to perform work.

4. Project formation

A project begins only after the customer accepts the applicable proposal, statement of work, order, or other written agreement and any required initial payment has been received. Racer Services LLC may decline a proposed engagement before those conditions are satisfied.

5. Project-specific documents and order of control

A project-specific proposal, statement of work, order, or written agreement may define scope, deliverables, pricing, deposits, milestones, payment schedules, estimated timelines, revision limits, acceptance procedures, ownership, licensing, support, maintenance, cancellation, and other project-specific terms.

When an accepted project-specific written document expressly differs from this general policy, the project-specific term controls for that project, subject to applicable law and non-waivable customer rights.

6. Pricing, deposits, payments, and taxes

Deposits, milestone amounts, payment schedules, due dates, and refund eligibility are determined by the applicable written proposal or agreement rather than a universal percentage. Taxes and other legally required charges may be added where applicable.

Payment disputes and chargebacks do not erase payment obligations for properly authorized and completed work. This does not limit applicable consumer rights, good-faith billing disputes, or remedies that cannot lawfully be waived.

7. Customer cooperation and delays

The customer must provide required payments, information, content, materials, decisions, approvals, credentials, access, testing, and responses within the agreed time. Racer Services LLC may pause work when any required item is overdue. Customer-caused delays may change delivery estimates and may require the project to be rescheduled based on available capacity.

8. Scope and change requests

Customer-requested additions, redesigns, integrations, modifications, expanded features, migrations, setup, consulting, training, or other work outside the approved scope require written approval. Approved changes may result in additional charges, revised milestones, and revised delivery estimates.

9. Revisions

Included revisions must be defined in the applicable proposal or written agreement. Additional revisions, repeated reversals of previously approved decisions, or revisions outside the approved scope may be treated as additional paid work and may affect the schedule.

10. Estimates, timelines, and outside events

Estimates and timelines are good-faith estimates unless expressly stated as fixed commitments in writing. Racer Services LLC is not responsible for delays or failures caused by customer delays, third-party outages, platform or API changes, provider restrictions, customer systems, force-majeure-type events, or other circumstances outside its reasonable control.

11. Delivery and customer review

Delivery occurs through the method stated in the applicable written agreement. Customers should inspect delivered work and report verified material problems in writing within seven business days unless the project-specific agreement states another review period. This review period does not eliminate non-waivable rights or otherwise valid defect claims that cannot lawfully be limited.

12. Acceptance

A project-specific agreement may establish reasonable milestone or final-acceptance procedures. Minor issues that do not materially prevent the agreed use of a deliverable should not automatically invalidate acceptance of otherwise completed work. Verified material defects will be addressed according to the applicable agreement.

Silence alone does not automatically transfer ownership, waive non-waivable rights, or eliminate valid defect claims.

13. Customer cancellation

If a customer cancels after work begins, the customer remains responsible for completed work, approved milestones, authorized work in progress, committed or non-cancellable third-party costs, and other amounts expressly stated in the applicable agreement. Deposit and milestone refund eligibility follows the applicable written proposal or agreement and the Refund, Cancellation & Delivery Policy.

14. Suspension or termination by Racer Services LLC

Racer Services LLC may suspend or terminate a project for non-payment, unlawful requests, abusive conduct, repeated failure to cooperate, security concerns, material breach, or other serious project risks. Amounts due, existing licenses, ownership rules, confidentiality terms expressly agreed in writing, and provisions intended to survive remain subject to the applicable agreement and law.

15. Commissioned deliverable ownership

Ownership of a specifically commissioned final deliverable transfers only when the applicable written agreement expressly provides for an ownership transfer and all amounts due have been paid. No ownership transfer is implied merely because work was discussed, previewed, partially delivered, tested, or invoiced.

16. Retained RacerServices and T546™ materials

Racer Services LLC and T546™ retain ownership of pre-existing and reusable materials, including code, libraries, frameworks, templates, systems, methods, workflows, designs, documentation, tools, know-how, branding, generic components, and general-purpose improvements.

When retained RacerServices or T546™ materials are included in a paid final deliverable, the customer receives the license reasonably necessary to use the accepted deliverable as provided, subject to the written agreement and applicable third-party restrictions.

17. Source files and additional services

Source code, editable source files, design files, development files, credentials, deployment, installation, migration, training, hosting, maintenance, updates, and ongoing support are included only when expressly stated in writing.

18. Third-party assets and services

Third-party assets, software, hosting, APIs, integrations, platforms, open-source components, fonts, media, licenses, subscriptions, and services remain subject to their own terms, availability, restrictions, and costs. The applicable written agreement should identify material customer responsibilities for those dependencies where reasonably possible.

19. Customer-provided materials and access

The customer is responsible for having the legal right and necessary permissions to provide content, data, trademarks, branding, files, credentials, accounts, systems, software, instructions, and other customer-provided materials. Customers remain responsible for secure handling of credentials and for changing temporary or shared credentials when appropriate.

20. Prohibited projects and instructions

Customers must not ask Racer Services LLC to create or facilitate unlawful, infringing, deceptive, abusive, harmful, or unauthorized work. Racer Services LLC may decline, pause, or terminate work that reasonably presents those concerns.

21. Outcomes, warranties, and compatibility

Unless expressly guaranteed in a signed written agreement, custom work does not guarantee revenue, profit, traffic, rankings, platform approval, regulatory approval, compatibility with every device or service, uninterrupted operation, or a particular business result. Any warranties or disclaimers remain subject to applicable law and protections that cannot lawfully be excluded.

22. Maintenance and ongoing support

Maintenance, monitoring, updates, security work, compatibility changes, hosting, and ongoing support are separate paid services unless expressly included in the applicable written agreement. Included support, if any, is limited to the scope and period stated in that agreement.

23. Personal information and sensitive material

Personal-information handling is governed by the Privacy Policy. Customers should not send passwords, secret API keys, highly sensitive personal data, regulated data, or confidential credentials through ordinary email unless Racer Services LLC provides an approved secure method.

24. Dispute resolution and governing law

The parties should first attempt informal resolution through support@racerservices.com. Unresolved disputes may proceed in an appropriate Indiana state or federal court or eligible small-claims court where legally permitted. These terms do not require mandatory arbitration and do not remove non-waivable consumer rights, mandatory legal protections, or jurisdictional limitations.

25. Changes to these terms

Racer Services LLC may update these terms to reflect legal, operational, or service changes. The posted update date identifies the current public version. An accepted project-specific written agreement generally continues to govern that project unless the parties agree to a change or applicable law requires otherwise.

26. Severability and no waiver

If a provision is found unenforceable, the remaining provisions remain effective to the extent legally permitted. A delay or failure to enforce a provision is not a waiver of the right to enforce it later or to enforce another provision.

27. Entire project agreement

The accepted proposal, statement of work, order, written agreement, incorporated policies, and approved written changes form the entire agreement for the applicable project concerning their subject matter. They replace prior discussions or communications about that same project to the extent stated in the accepted documents.
